Welcome to Interior Design Nepal. These Terms and Conditions (“Terms”) govern your relationship with Interior Design Nepal (“Company,” “we,” “us,” or “our”) regarding our turnkey interior execution services, design consultations, and website usage.

By signing a design agreement, executing a turnkey contract, or placing an order, you agree to be bound by these Terms.

1. Scope of Turnkey Execution Services

  • The Scope of Work (SOW): The exact execution details, 2D/3D layouts, bill of quantities (BOQ), and material specifications will be detailed in a separate signed Project Agreement. Any work requested outside the finalized BOQ will be treated as an Additional Work Order and billed separately.
  • Approvals: The client must provide written or digital approval (via email or official chat) for 3D renders and material selections before procurement or site execution begins. Delayed approvals will extend the project timeline.

2. Payment Milestone Terms

As a turnkey service provider, execution operates strictly on a staggered milestone-payment structure:

  • Mobilization Advance: A non-refundable advance fee is required to initiate design works and secure initial raw materials/labor mobilization.
  • Milestone Payments: Subsequent payments must be cleared immediately upon completion of specified site milestones (e.g., completion of civil/MEP work, carpentry carcase installation, final finishes) as outlined in your specific contract.
  • Work Suspension: If a milestone invoice remains unpaid for more than seven (7) business days, the Company reserves the right to halt all on-site labor and material deliveries. The Company is not responsible for any consequential project delays or labor idle charges during this period.

3. Client Responsibilities & Site Access

  • Access and Permits: The client must ensure unhindered access to the project site for our supervisors, laborers, and delivery vehicles during permitted working hours. The client is entirely responsible for obtaining society permissions, ward approvals, or local community clearances required for interior execution.
  • Site Utilities: The client must provide continuous electricity and water supply at the site at their own cost, necessary for the execution of civil, electrical, and carpentry works.
  • Pre-existing Structural Issues: The Company is not liable for structural defects, dampness/seepage, or faulty pre-existing pipelines discovered during execution unless explicitly contracted to remedy them.

4. Material Variations and Procurement

  • Natural Variations: Turnkey projects often utilize natural materials such as wood, marble, granite, or veneer. The client acknowledges that natural materials feature inherent variations in grain, color, texture, and vein patterns, which do not constitute defects.
  • Market Availability: If a specific material, fixture, or fabric chosen during the design phase becomes unavailable in the local or import market during the execution phase, the Company will propose an alternative of equal quality and value for client approval.

5. Timeline, Delays, and Force Majeure

  • Estimated Deadlines: The project completion timeline provided is an estimate. While we strive to meet deadlines, the Company is not liable for delays caused by client-side changes, late material selections, or delayed milestone payments.
  • Force Majeure: Neither party shall be liable for failure or delay in performing obligations due to events beyond reasonable control, including but not limited to natural disasters, transport strikes, blockades, material import restrictions, market shortages, or government-mandated lockdowns.

6. Intellectual Property

  • All design concepts, 2D layouts, 3D photorealistic renders, technical floor plans, and bespoke furniture drawings generated by Interior Design Nepal remain the intellectual property of the Company.
  • Clients are granted a license to use these designs solely for the execution of the specified project by our firm. Designs may not be shared, resold, or handed over to external third-party contractors for independent execution without explicit written authorization and an agreed design-release fee.

7. Handover and Defect Liability Period (Warranty)

  • Virtual Handover: Upon completion of execution, a joint site inspection will be conducted. A “Handover Certificate” will be signed by both parties, signifying formal completion.
  • Defect Liability: The Company provides a limited defect liability period (typically 6 to 12 months, as specified in your individual contract) covering craftsmanship defects in custom carpentry or structural installations executed by us. This warranty does not cover general wear and tear, water damage caused by external leaks, or third-party appliance/fixture failures.

8. Governing Law and Dispute Resolution

  • These Terms shall be governed by, construed, and enforced in accordance with the laws of Nepal.
  • In the event of any dispute, disagreement, or claim arising out of or relating to our execution services, both parties shall first attempt to resolve the issue amicably through mutual negotiation. If negotiation fails, the dispute shall be referred to the exclusive jurisdiction of the courts located in Kathmandu/Lalitpur, Nepal.
